MemberCairn Subscription Agreement

This Subscription Agreement (“Agreement”) governs paid subscriptions to the MemberCairn platform (the “Service”). It supplements, and is part of, the MemberCairn Terms of Use; if there is a conflict about billing, this Agreement controls. Capitalized terms not defined here have the meaning given in the Terms of Use.

1. Who Pays

MemberCairn is purchased by the Organization (for example, a pack, troop, or club), not by individual members or families. The person who purchases or renews a subscription represents that they are authorized to bind the Organization and to use its payment method, consistent with the Terms of Use.

2. Free Introductory Period

MemberCairn may offer the Organization a free introductory period (for example, an initial recruiting season at no charge). Unless the Organization cancels before the free period ends, the subscription will begin and the applicable fee will be charged at the start of the first paid term. We will tell you when the free period ends and the fee that will apply before any charge is made.

3. Plans, Fees, and Term

Subscriptions are offered on a recurring basis for the subscription term shown at checkout or in your order (typically one year). The fee for your plan is the amount presented to you at that time, or our then-current published price. Fees are stated in U.S. dollars and are exclusive of taxes (see Section 8).

Plan changes. An upgrade to a higher plan takes effect immediately. A change to a lower plan (including to a free plan) takes effect at the end of the current paid term: the Organization keeps its current plan through the term it has paid for, and the lower plan applies from the next renewal. Except where required by law, MemberCairn does not prorate or refund the difference for a mid-term move to a lower plan.

4. Automatic Renewal

Your subscription renews automatically. Unless the Organization cancels before the renewal date, the subscription will renew for a further term of the same length, and the payment method on file will be charged the then-current fee for the plan. We will send a reminder to the Organization’s billing contact before each renewal. By subscribing, the Organization authorizes these recurring charges until it cancels.

5. Payment

Payments are processed by a third-party payment processor (currently Stripe). By providing a payment method, the Organization authorizes MemberCairn and its processor to charge the applicable fees. You are responsible for keeping your payment method current. We do not store full payment-card numbers; card data is handled by the processor.

6. Cancellation

The Organization may cancel at any time through its account or by contacting us at support@membercairn.com. Cancellation stops future renewals. When you cancel, paid access continues through the end of the current paid term, and the subscription will not renew after that.

7. Refunds

Except where required by law or expressly stated otherwise in writing, fees are non-refundable, and cancelling does not entitle the Organization to a refund of amounts already paid for the current term. Where applicable law gives you a right to cancel for a refund within a certain period, that right applies.

8. Price Changes

We may change our fees. Any change to your renewal price will take effect at your next renewal, and we will give you advance notice before that renewal so you can decide whether to continue. If MemberCairn offers the Organization a locked or founder rate, we will honor it on the terms on which it was offered; unless those terms state otherwise, a locked rate applies only while the Organization’s subscription remains continuously active, and it lapses if the subscription is cancelled or expires. A price change does not affect a term you have already paid for.

9. Taxes

Fees are exclusive of taxes. The Organization is responsible for any applicable sales, use, or similar taxes, except for taxes based on MemberCairn’s net income. If the Organization is tax-exempt, provide your exemption documentation and we will apply it as required.

10. Non-Payment and Suspension

If a charge fails or an account becomes past due, we may retry the charge, and we may suspend or limit the Service after reasonable notice until payment is made. We will not delete the Organization’s data solely for non-payment without notice and a reasonable opportunity to pay or export it.

11. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated Agreement with a new effective date and, where appropriate, provide notice. Changes apply as of your next renewal.

12. Founder Offer and Promotional Pricing

From time to time MemberCairn offers a promotional founder rate on the Guide plan. Where offered, the founder first year is billed in two installments: a first payment when you start, and a second payment on the date shown at checkout that completes your first year. Paying both installments enrolls the Organization in the Guide plan at the founder renewal rate, which is honored while the subscription remains continuously active, consistent with Section 8.

If you cancel before the second installment. You will not be charged the second payment, and no further amount is owed for the founder offer. Your account continues on the free plan, which is free forever. Nothing you have created is deleted: your website, roster, contacts, and history are retained. If your content exceeds the free plan’s limits (for example, more pages or photos than the free plan includes), the amount over the limit is kept but placed in a read-only state until you are back within the limit or move to a higher plan again; it is never removed, and your data is always yours to export. A custom .org web address registered for you as part of the offer remains yours; like any domain it renews on its own yearly anniversary at the then-current rate for your plan, and you may keep it or let it lapse.

The first installment already paid is non-refundable, as set out in Section 7.
